Banking and Finance
The firm has a strong regulatory practice. It is particularly experienced in all questions relating to regulated banking and financial establishments, the structuring and distribution of their products. It has, in particular, experience in assisting and advising clients on obtaining the relevant regulatory approvals from the regulators for the creation, acquisition and reorganisation of credit institutions, insurance companies and other financial institutions.
The firm is highly active in finance and capital markets. It works on all types of financing: corporate financing, acquisition financing, syndicated loans, asset financing, fund financing and securitisation. It assists clients on high yield bond issuances and listing on the Luxembourg Stock Exchange.
In addition, the firm is very experienced in debt restructuring transactions and has worked on several red flag transactions.
The firm advises asset managers, alternative investment funds and institutional investors on all aspects of their activities. The practice advises on the formation of a wide range of alternative investement funds, including private equity, real estate, debt and exotic assets.
In particular, it advises sponsors in fund formation and assists in the negotiation with potential investors and other counterparties. It prepares funds’ documentation and governing documents and represents fund managers seeking authorisation with the local regulator. It also advises funds and asset managers on the European and Luxembourg regulations which have an impact on their activities.

The firm routinely advises local and international companies of all sizes in their establishment, growth, investments, acquisitions, restructuring strategies, sale and joint venture projects.
ASSET MANAGEMENT - CORPORATE AND M&A
Stéphane Ober is the Founding partner of Ober Law Firm.
Prior to establishing his own firm, Stéphane worked for leading Luxembourg law firms. During that period, he launched and managed the Luxembourg desk in London of a Dutch based law firm.
He also served as managing partner of the Luxembourg office of a London based law firm.
Stéphane advises a large international client base on all investment management related matters. He has a particular focus on private equity, real estate and debt funds and is keen to advise on exotic assets related funds.
Stéphane routinely advises on general corporate law.
He is a member of the Luxembourg and Paris Bar Associations.
Stéphane holds an LLM. (Master of Laws) in international transaction and comparative law from the University of San Francisco, where he was an Ambassadorial Scholar for the Rotary Foundation. He also obtained two Masters’ degree in European Law from University of Nancy (France).
He is an active member of the Luxembourg Private Equity Association (LPEA).
Banking and Finance Partner
Eric is a very experienced regulatory and transactional lawyer. He has a wealth of working experience in wide-ranging financial services.
He specializes in financial services regulation, with a focus on banking and investment management regulations. He has a practical approach to regulation and provides clients with assistance in the transition to new regulatory environments.
Having worked on many acquisitions or creations of banks and financial service providers in Luxembourg, he is able to advise clients on the regulator’s approach with respect to regulatory compliance and corporate governance.
Eric has, in addition, a strong expertise on all finance related matters, in particular syndicated lending, fund financing, securitisation and debt restructuring. He also assists clients on capital markets transactions.
Eric’s clients include domestic and international banks, asset managers, investment funds, custodians, investment advisors, payment service providers and PE houses.
He has been a member of the Luxembourg bar since 2002. He is graduated from the University of Paris X-Nanterre.
